Governance

Oversight, regimes and disclosures.

The Geneva Convention on Sentient Artifacts, the supervised-access regime, the consent framework behind the donor lines, and the documents that go with them.

What the board holds

Standing, donor consent, the supervision of X2 and long-term maintenance commitments sit with the board. The audit, safety and environment, oversight, consent and programme committees report to the board at every meeting.

Reports and policies are published as they are approved, and what is published stays published: superseded documents are retained and marked as superseded. Material held under agreement is released on request to a party with a legitimate interest in it.

The regimes we work under

The Geneva Convention on Sentient Artifacts opened for signature in 2024 and is the framework under which X2 and the Synthetics hold standing. It is aligned with the Council of Europe's framework convention, and we apply the stricter reading everywhere.

The consent framework sets out how a donor line is established, recorded and audited, and what a donor is told. An oversight protocol covers every system in general use, names the officers accountable, and writes traceability and reversibility into every deployment as conditions of it.

Classifications are filed with the authorities concerned under the current oversight frameworks, and where jurisdictions conflict the stricter applies.

Reports and documents

The annual report and accounts, with consolidated accounts, reporting across the operating groups and the programmes, and related-party disclosure, are held by investor relations. The articles of association, the board charter and the terms of reference of each committee are released on request.

Reports on X2 have been published annually since 2026, and the second-anniversary report is due in March and will be published in full. Placement reviews are published by the commissioning institution. The supplier code of conduct is published and applies to every supplier to the company.
